An important characteristic of the firm is our unusually extensive experience in IT law. This experience ranges from advising on standard IT contracts (hardware and services purchase, software licensing and telecoms services provision) to more esoteric contractual arrangements such as VOIP supply, dark fibre licensing and software shareware club structuring. Having advised the full range of clients from public bodies through PLCs to private individuals, we are fully experienced at balancing the need to protect a client's interests with the commercial realities of the continually developing IT world.
Specific areas of experience:
- IT supply – drafting and negotiating contracts for suppliers and customers on the provision of hardware and IT networks, standard and bespoke software (both direct supply and ASP) and IT services and service levels (development, consultancy, implementation and maintenance) and ranging from simple package licences or VAR agreements to complex multi-service oriented architecture projects.
- Online – advising on website design and hosting contracts, the provision of online services (clickstream, digital traffic collection, data management and analysis) the establishment and setting up on-line businesses (including terms of agreement and IP licences), advising on website terms of use, data use statements and privacy policies, end user licence agreements, trading and advertising standards
- IT Commercial – drafting and negotiating software development agreements, evaluation agreements, non-disclosure agreements, back-to-back supply agreements, reseller agreements, bundling agreements and shareware club contracts
- IT outsourcing – advising suppliers and customers on the outsourcing of private sector, borough councils’ and local authorities’ IT functions including as a component of Private Finance Initiatives, Strategic Partnerships and Building Schools for the Future programmes
- Telecoms – advising suppliers and customers on contracts and service level agreements for the supply of call centre services, alarm and telecare services, telecom infrastructure implementation contracts, telecom partner contracts (roaming partnership, SMS termination) VOIP supply and connectivity contracts (cabling, dark fibre exploitation, WiFi and WiMax contracts)
